1. Acceptance of Terms
By accessing and using the services provided by SWC Accounting ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

By engaging our services, you confirm that you have the authority to enter into this agreement

2. Services Provided
SWC Accounting provides professional accounting, tax, payroll, and advisory services across the UK, Canada, USA, and Pakistan.
Core Services
- Bookkeeping & Accounts Management: Recording transactions, reconciliation, financial statements, and cloud-based accounting
- Tax Preparation & Filing: VAT (UK), GST/HST (Canada), IRS returns (USA), and FBR compliance (Pakistan)
- Payroll Solutions: Salary processing, tax withholding, pension contributions, and statutory compliance
- Company Formation: Business registration, incorporation, and regulatory compliance
- Business Advisory: Financial strategy, tax planning, budgeting, and business growth consulting
Service Scope
- Services are provided based on the information and documents you provide to us
- We are not responsible for the accuracy of information provided by you or third parties
- Service scope is defined in individual engagement letters or service agreements
- Additional services outside the agreed scope may be subject to additional fees
3. Client Responsibilities
As a client of SWC Accounting, you agree to the following responsibilities:

Accurate Information: Provide complete, accurate, and timely information required for our services

Document Provision: Submit all necessary documents, records, and supporting materials promptly

Timely Responses: Respond to our requests for information within reasonable timeframes

Legal Compliance: Ensure your business operations comply with all applicable laws and regulations

Record Keeping: Maintain proper records and documentation as required by law

Payment: Pay all fees and charges according to the agreed payment terms

Authorization: Provide necessary authorizations for us to act on your behalf with tax authorities

Review: Review and approve all documents before submission to regulatory authorities
4. Fees and Payment Terms
Our fees are based on the services provided and the complexity of work required.
Fee Structure
- Fees may be charged on an hourly basis, fixed-fee basis, or monthly retainer
- Fee schedules are communicated in individual engagement letters
- Fees are subject to change with 30 days' written notice
- Rush services or urgent requests may incur additional charges
Payment Terms
- Invoices are typically issued monthly or upon completion of specific services
- Payment is due within 15 days of invoice date unless otherwise agreed
- Late payments may incur interest charges at 1.5% per month (18% per annum)
- We reserve the right to suspend services for non-payment
- Payment methods include bank transfer, credit card, and online payment platforms
Additional Costs
- Out-of-pocket expenses (travel, courier, government fees) are billed separately
- Third-party software subscriptions may be required and billed separately
- Document retrieval fees from government agencies are passed through to clients
- Penalty fees resulting from client-provided incorrect information are client's responsibility
5. Confidentiality and Data Protection
We are committed to maintaining the confidentiality and security of your information.

Information is only disclosed to third parties with your consent or as required by law

6. Professional Standards and Ethics
SWC Accounting operates in accordance with professional accounting standards and ethical guidelines.

Conflicts of interest are disclosed and managed appropriately

We do not provide legal advice; legal matters should be referred to qualified attorneys

We do not guarantee specific outcomes or results from our services

Professional judgment is applied based on facts and circumstances at the time

We reserve the right to decline or withdraw from engagements that conflict with our professional standards
7. Limitation of Liability
Our liability is limited as follows:

Professional Services: Liability is limited to the fees paid for the specific service in question

Maximum Liability: Total liability shall not exceed Β£10,000 (UK), $15,000 CAD (Canada), $15,000 USD (USA), or PKR 3,000,000 (Pakistan)

Indirect Damages: We are not liable for indirect, consequential, or punitive damages

Third-Party Claims: We are not liable for claims by third parties unless directly caused by our negligence

Tax Authority Penalties: Penalties imposed by tax authorities due to client-provided incorrect information are not our responsibility

Force Majeure: We are not liable for delays or failures due to circumstances beyond our control

Timeliness: While we strive for timely service, we are not liable for delays caused by third parties or client delays

Insurance: Professional liability insurance is maintained to cover claims arising from our services
8. Intellectual Property
Ownership of materials and intellectual property rights are as follows:

All documents, templates, and methodologies created by us remain our intellectual property

You retain ownership of all information and documents you provide to us

Working papers and internal documentation prepared by us remain our property

Final deliverables (tax returns, financial statements, reports) are provided to you for your use

You may not reproduce, distribute, or create derivative works from our proprietary materials without permission

Our company name, logo, and trademarks may not be used without written authorization

Third-party software licenses must be respected and maintained
9. Termination of Services
Either party may terminate the service agreement under the following conditions:
Termination by Client
- You may terminate services with 30 days' written notice
- Fees for services rendered up to termination date are due and payable
- We will provide copies of your records upon settlement of outstanding fees
- Incomplete work will be billed on a pro-rata basis
Termination by SWC Accounting
- We may terminate with 30 days' notice for convenience
- We may terminate immediately for non-payment, breach of terms, or ethical conflicts
- We will provide reasonable assistance in transitioning to a new service provider
- We retain the right to withhold documents until all fees are paid
Post-Termination
- All outstanding fees must be paid within 15 days of termination
- We will return client-provided documents and records
- Confidentiality obligations continue after termination
- We are not obligated to provide services after termination unless contractually required

Services are provided in compliance with regulations in the UK, Canada, USA, and Pakistan.
United Kingdom
- Compliance with HMRC regulations and UK tax law
- Companies House filing requirements
- Anti-Money Laundering (AML) regulations
- Data Protection Act 2018 and UK GDPR
Canada
- Compliance with Canada Revenue Agency (CRA) requirements
- Provincial tax and corporate regulations
- PIPEDA (Personal Information Protection and Electronic Documents Act)
- Anti-Money Laundering (AML) and Know Your Client (KYC) requirements
United States
- IRS compliance and federal tax regulations
- State and local tax requirements
- CCPA (California Consumer Privacy Act) where applicable
- SEC and FINRA regulations for applicable entities
Pakistan
- Federal Board of Revenue (FBR) compliance
- Securities and Exchange Commission of Pakistan (SECP) requirements
- Personal Data Protection Act (PDPA)
- Anti-Money Laundering laws and regulations
11. Warranties and Disclaimers

Professional Care: We will provide services with reasonable professional care and skill

No Guarantees: We do not guarantee specific tax savings, audit outcomes, or regulatory decisions

As-Is Basis: Information and advice are provided based on facts known at the time

Tax Law Changes: We are not responsible for changes in tax laws after advice is given

Third-Party Actions: We do not warrant the actions or decisions of tax authorities or regulators

Software and Tools: Third-party software is provided "as-is" without warranties

Estimates: Time and cost estimates are approximate and may vary

External Factors: We are not responsible for external factors affecting your business
12. Dispute Resolution
In the event of a dispute, the following process applies:
Informal Resolution
- Disputes should first be raised with your primary service contact
- Management will be notified and will attempt to resolve the issue within 15 business days
- Good faith negotiations should be conducted to reach an amicable resolution
Mediation
- If informal resolution fails, parties agree to attempt mediation
- A neutral third-party mediator will be appointed by mutual agreement
- Mediation costs will be shared equally between parties
- Mediation is non-binding and confidential
Arbitration and Legal Action
- If mediation fails, disputes may proceed to arbitration or legal action
- Arbitration will be conducted under the rules of the applicable jurisdiction
- Legal proceedings will be conducted in the courts of the jurisdiction where services were primarily provided
- Prevailing party may be entitled to recover reasonable legal fees
13. Governing Law and Jurisdiction
These terms are governed by the laws of the jurisdiction where services are primarily provided:

United Kingdom: Governed by the laws of England and Wales

Canada: Governed by the laws of the Province of Ontario and federal laws of Canada

United States: Governed by the laws of the State of New York and federal laws of the United States

Pakistan: Governed by the laws of Pakistan and regulations of Islamabad Capital Territory

Any legal proceedings must be brought in the courts of the applicable jurisdiction

Both parties consent to the exclusive jurisdiction of these courts
14. Amendments to Terms
We reserve the right to modify these terms and conditions:

Material changes will be communicated via email to active clients

Continued use of our services after changes constitutes acceptance

You may terminate services if you do not agree to revised terms
